1. Definitions
- “Client” refers to any individual or entity engaging Lumiere Design Studio for services.
- “Studio” refers to Lumiere Design Studio, its team members, and authorized contractors.
- “Services” refers to any design, branding, marketing, photo, video, or web services provided by the Studio.
2. Services Offered
Lumiere Design Studio provides the following services:
- Web Design
- Branding
- Graphic Design
- Marketing
- Photo and Video Production
Custom packages or service modifications may be agreed upon.
3. Project Process
- A written proposal and/or quote will be provided for approval before the commencement of any project.
- Work will begin upon receipt of the signed agreement and initial deposit.
4. Payments and Deposits
- A non-refundable deposit of 50% is required to begin work unless otherwise agreed upon.
- The remaining balance is due upon project completion or before final files are delivered or published.
- Payment terms are net 14 days from invoice date, unless otherwise agreed in writing.
- Late payments may incur a 5% monthly late fee.
5. Revisions and Approvals
- Each project includes a set number of revision rounds (revisions vary based on client’s needs and quote provided).
- Additional revisions may be subject to extra charges.
- Final approval from the Client is required in writing before delivery of final files.
6. Intellectual Property
- Upon full payment, the Client will receive the rights to the final, approved deliverables.
- Lumiere Design Studio retains the right to display all work in portfolios, on the website, and for promotional purposes.
- Source files and working files remain the property of the Studio unless specifically purchased by the Client.
7. Cancellation and Termination
- The Client may cancel a project in writing. All work completed up to the point of cancellation will be invoiced and must be paid in full.
- Lumiere Design Studio may cancel a project due to non-payment, unresponsiveness, or breach of these terms.
8. Turnaround Times
- Estimated timelines are provided in the proposal and may vary based on project scope and client response times.
- Delays in providing necessary content or feedback from the Client may result in delayed delivery.
9. Client Responsibilities
- The Client agrees to provide timely feedback, necessary materials, and approvals throughout the project.
- The Studio is not responsible for delays due to incomplete or late submissions by the Client.
10. Confidentiality
Lumiere Design Studio agrees to treat all Client materials and information as confidential unless permission is granted for disclosure.
11. Liability
- Lumiere Design Studio will not be liable for any damages arising from the use or misuse of the final deliverables.
- The Client is responsible for reviewing and approving all materials before publication or distribution.
12. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of California USA.
13. Changes to Terms
Lumiere Design Studio reserves the right to update these Terms and Conditions at any time. Continued engagement of services after changes constitutes acceptance.
